Publication of 2025 Annual Report and Accounts and
Notice of 2026 Annual General Meeting
Following the release on 26 November 2025 of its preliminary results for the year ended 30 September 2025, the Company announces that it is today publishing its Annual Report and Accounts for the year ended 30 September 2025 ("2025 Annual Report") and Notice of the 2026 Annual General Meeting ("AGM").
In addition to the routine business of the AGM, shareholders are also being asked to approve a resolution to effect the cancellation of the entire amount standing to the credit of the Company's share premium account (the "Capital Reduction"). The Capital Reduction is conditional upon the passing by the Company's shareholders of the special resolution set out in the Notice of AGM, as well as the subsequent confirmation by the Court of the cancellation. The Notice of AGM sets out full details of the proposed Capital Reduction.
Copies of the 2025 Annual Report, Notice of AGM and Proxy Form are being made available to view on the Company's website at www.auctiontechnologygroup.com/investors/.
Shareholders who elected to receive shareholder information electronically are being notified that these documents are available on the Company's website. Hard copies of the documents are being posted today to shareholders who elected to receive shareholder information in hard copy.
The Company's 2026 AGM will be held at 1:00pm on Thursday 22 January 2026 at the offices of Travers Smith LLP, 10 Snow Hill, London EC1A 2AL. Shareholders are invited to attend and participate in the meeting in person or may refer to the Notice of AGM for details on how to vote on the resolutions by proxy. Shareholders will also be able to watch and listen to (but not vote at) the AGM via a live webcast and should register by emailing investorrelations@auctiontechnologygroup.com. Questions regarding the business of the AGM can be submitted in advance of the AGM to investorrelations@auctiontechnologygroup.com up to 1:00pm on Tuesday 20 January 2026.
