INCERGO S.A. AGREES TERMS TO ACQUIRE VISUAL SEMICONDUCTOR, INC.
[Vienna, 14 April 2025] Incergo S.A. ("Incergo") is delighted to announce that it has agreed terms to acquire Visual Semiconductor, Inc. ("VSI"), which is a fast growing and exciting semiconductor company, into the Group. VSI is at the forefront of next-generation glasses-free 3D technology, transforming the way users experience digital content. Specializing in cutting-edge 3D ASIC chips, VSI is pioneering large-scale 3D displays for live events, digital advertising and cinema, delivering immersive experiences without the need for special eyewear.
Incergo has entered into negotiations to acquire VSI for a consideration up to EUR 53 million by way of a loan note which, subject to regulatory approvals, will be fully settled by way of conversion to shares at EUR 2.00 per share.
VSI's Founder & CEO Mathu Rajan said, "Joining Incergo is a crucial milestone that will allow VSI to commence significant commercialization of our 3-D televisions. We intend to hit the ground running and start fulfilling purchase orders."

The transaction remains subject to final agreements and customary regulatory approvals. Further updates will be provided as the acquisition progresses.
