ACCESSION OF ADDITIONAL GUARANTOR UNDER NGD HOLDINGS B.V. US$425,000,000 6.75 PER CENT SENIOR SECURED NOTES DUE 2026
In accordance with Clause 17.1(c)(ii)(C) and Condition 2.3(c)(ii) of the trust deed dated 17 May 2021 between, inter alia, NGD Holdings B.V. (the "Issuer"), DTEK Oil&Gas B.V. (formerly DTEK Oil&Gas Holdings B.V.) and GLAS Trustees Limited (the "Trustee") relating to the Issuer's US$425,000,000 6.75 per cent Senior Secured Notes due 2026 (the "Trust Deed"), DTEK Oil&Gas Action LLC, a wholly-owned Ukrainian subsidiary of DTEK Oil&Gas Development B.V., has entered into a surety agreement dated 27 December 2024 pursuant to which it has acceded to the Trust Deed and the other Notes Documents and has become an Additional Guarantor. Capitalised terms used in this announcement but not otherwise defined have the meanings given to them in the Trust Deed.
