PUBLICATION AND POSTING OF THE SCHEME DOCUMENT
Introduction
On 30 October 2024, the boards of Bidco and Eckoh announced that they had reached agreement on the terms and conditions of a recommended cash acquisition by Bidco of the entire issued and to be issued share capital of Eckoh (the "Acquisition"). The Acquisition is intended to be implemented by way of a Court-sanctioned scheme of arrangement under Part 26 of the Companies Act (the "Scheme"). The Acquisition also involves the acquisition by Bidco of shares held by certain managers, conditional on the Scheme becoming effective, pursuant to a Rollover and Reinvestment Deed.
Capitalised terms used in this announcement shall, unless otherwise defined, have the meanings set out in Part IX (Definitions) of the Scheme Document (as defined below).
Publication and posting of the Scheme Document
Eckoh announces that it has published a circular in relation to the Acquisition (the "Scheme Document"), together with the Forms of Proxy for the Court Meeting and the General Meeting. The Scheme Document sets out, amongst other things, the full terms and conditions of the Scheme, an explanatory statement pursuant to section 897 of the Companies Act, an expected timetable of principal events, notices of the Court Meeting and General Meeting and details of the actions to be taken by Eckoh Shareholders.
Hard copies of the Scheme Document and/or a website notification of availability (providing details of the website where the Scheme Document may be accessed) are being sent to Eckoh Shareholders (depending on communication preferences selected). Hard copies of the Forms of Proxy for the Court Meeting and the General Meeting are being posted to Eckoh Shareholders. Eckoh will also be sending details of the proposals being made to participants in the Eckoh Share Plans to such participants.
Notices of the Court Meeting and General Meeting
As further detailed in the Scheme Document, to become Effective the Scheme requires, among other things that the requisite majorities of:
· Scheme Shareholders vote in favour of the Scheme at the Court Meeting;
· Eckoh Shareholders vote in favour of the Special Resolution at the General Meeting; and
· Eckoh Independent Shareholders vote in favour of the Rule 16.2 Resolution at the General Meeting.
The Scheme is also subject to the satisfaction or (where applicable) waiver of the Conditions and further terms set out in the Scheme Document.
Notices convening the Court Meeting and the General Meeting for 11.00 a.m. and 11.15 a.m. respectively on 6 January 2025 (or, in respect of the General Meeting, as soon thereafter as the Court Meeting is concluded or adjourned), each to be held at Telford House, Corner Hall, Hemel Hempstead, Hertfordshire HP3 9HN, are set out in the Scheme Document.
Recommendation
The Eckoh Independent Directors, who have been so advised by Stifel and Singer Capital Markets as to the financial terms of the Acquisition, consider the terms of the Acquisition to be fair and reasonable. In providing advice to the Eckoh Independent Directors, Stifel and Singer Capital Markets have taken into account the commercial assessments of the Eckoh Independent Directors. Stifel and Singer Capital Markets are providing independent financial advice to the Eckoh Independent Directors for the purposes of Rule 3 of the Code.
Accordingly, the Eckoh Independent Directors recommend unanimously that Scheme Shareholders vote in favour of the Scheme at the Court Meeting and that Eckoh Shareholders vote in favour of the Special Resolution and Eckoh Independent Shareholders vote in favour of the Rule 16.2 Resolution, both at the General Meeting, as the Eckoh Independent Director who holds Eckoh Shares has irrevocably undertaken to do in respect of his own beneficial holdings of Eckoh Shares, amounting in aggregate to 525,000 Eckoh Shares representing approximately 0.18 per cent. of the issued share capital of Eckoh as at the Latest Practicable Date.
It is important that, for the Court Meeting in particular, as many votes as possible are cast, so that the Court may be satisfied that there is a fair representation of Scheme Shareholders' opinion. Scheme Shareholders are therefore strongly encouraged to complete, sign and return their Forms of Proxy or to appoint a proxy electronically using any of the methods set out in the Scheme Document, as soon as possible and, in any event, by no later than 11.00 a.m. on 2 January 2025 in the case of the Court Meeting and by no later than 11.15 a.m. on 2 January 2025 in the case of the General Meeting (or, in the case of any adjournment, not later than 48 hours before the fixed time for the holding of the adjourned meeting, excluding any part of such 48-hour period falling on a day that is not a working day). Doing so will not prevent you from attending, speaking and voting in person at the Eckoh Meetings if you wish and are entitled to do so.
In the case of the Court Meeting only, if the BLUE Form of Proxy for the Court Meeting is presented in person to the Link Group representative who will be present at the Court Meeting, at any time prior to the commencement of the Court Meeting, it will still be valid.
Scheme Shareholders should read the Scheme Document in its entirety before making a decision in respect of the Scheme.
Delisting of Eckoh Shares
If the Scheme is approved by the Scheme Shareholders and the Resolutions are approved by Eckoh Shareholders, the Court sanctions the Scheme, all other Conditions to the Acquisition are satisfied or (if capable of waiver) waived and the Scheme becomes Effective in accordance with its terms, then, under the anticipated timetable, it is expected that dealings in Eckoh Shares will be suspended at 7:30 a.m. on 20 January 2025, the second Business Day following the Sanction Hearing, the Scheme will become Effective on the same day and the cancellation of the admission to trading of Eckoh Shares on AIM will take effect by 7:00 a.m. on 21 January 2025, the following Business Day.
Expected Timetable of Principal Events
The Scheme Document contains an expected timetable of principal events in relation to the Scheme, which is also set out in the Appendix to this announcement. The Scheme remains conditional on the approval of Scheme Shareholders at the Court Meeting, the Special Resolution and Rule 16.2 Resolution being passed by the requisite majorities of Eckoh Shareholders and Eckoh Independent Shareholders respectively at the General Meeting and the satisfaction or waiver of the other Conditions set out in the Scheme Document, including the sanction of the Court. The Scheme is expected to become Effective in Q1 2025. Any update to the expected timetable will be announced through a Regulatory Information Service, with such announcement also being made available on Eckoh's website at www.eckoh.com/investors.

If the WHITE Form of Proxy is not returned by such time, it will be invalid.
4 If either the Court Meeting or the General Meeting is adjourned, the Voting Record Time for the adjourned meeting will be 6.30 p.m. on the date which is 48 hours before the date set for the adjourned meeting (excluding any part of such 48 hour period falling on a day that is not a working day).
5 The Court Meeting and the General Meeting will be held at Telford House, Corner Hall, Hemel Hempstead, Hertfordshire HP3 9HN. The General Meeting will commence at 11:15 a.m. (or as soon as reasonably practicable thereafter) as the Court Meeting is concluded or adjourned.
6 This will be the date on which the Court Order is delivered to the Registrar of Companies, subject to the satisfaction (or, if applicable, waiver) of the Conditions.

Additional information for U.S. investors
U.S. shareholders should note that the Acquisition relates to an offer for the shares of a UK company and is being made by means of a scheme of arrangement provided for under English company law. The Acquisition, implemented by way of a scheme of arrangement, is not subject to the tender offer rules or the proxy solicitation rules under the U.S. Exchange Act, as amended. Under Rule 8.3(a) of the Takeover Code, any person who is interested in 1% or more of any class of relevant securities of an offeree company or of any securities exchange offeror (being any offeror other than an offeror in respect of which it has been announced that its offer is, or is likely to be, solely in cash) must make an Opening Position Disclosure following the commencement of the offer period and, if later, following the announcement in which any securities exchange offeror is first identified. An Opening Position Disclosure must contain details of the person's interests and short positions in, and rights to subscribe for, any relevant securities of each of (i) the offeree company and (ii) any securities exchange offeror(s). An Opening Position Disclosure by a person to whom Rule 8.3(a) of the Takeover Code applies Eckoh be made by no later than 3.30 pm (London time) on the 10th business day following the commencement of the offer period and, if appropriate, by no later than 3.30 pm (London time) on the 10th business day following the announcement in which any securities exchange offeror is first identified. Relevant persons who deal in the relevant securities of the offeree company or of a securities exchange offeror prior to the deadline for making an Opening Position Disclosure must instead make a Dealing Disclosure.
Under Rule 8.3(b) of the Takeover Code, any person who is, or becomes, interested in 1% or more of any class of relevant securities of the offeree company or of any securities exchange offeror must make a Dealing Disclosure if the person deals in any relevant securities of the offeree company or of any securities exchange offeror. A Dealing Disclosure must contain details of the dealing concerned and of the person's interests and short positions in, and rights to subscribe for, any relevant securities of each of (i) the offeree company and (ii) any securities exchange offeror(s), save to the extent that these details have previously been disclosed under Rule 8. A Dealing Disclosure by a person to whom Rule 8.3(b) applies must be made by no later than 3.30 pm (London time) on the business day following the date of the relevant dealing.
If two or more persons act together pursuant to an agreement or understanding, whether formal or informal, to acquire or control an interest in relevant securities of an offeree company or a securities exchange offeror, they will be deemed to be a single person for the purpose of Rule 8.3.
Opening Position Disclosures must also be made by the offeree company and by any offeror and Dealing Disclosures must also be made by the offeree company, by any offeror and by any persons acting in concert with any of them (see Rules 8.1, 8.2 and 8.4).
