Additional Listing of Shares

Capital & Regional plc announces that an application has been made for a total of 1,404,542 Ordinary Shares of 10p each to be admitted to the Official List of the UK Listing Authority and to trading on the London Stock Exchange's main market ("Admission"). The shares will be issued fully paid and will rank pari passu in all respects with the existing issued ordinary shares of the Company. Admission is expected to become effective on 2 December 2024.

Shares from this application will be issued in connection with the proposed combination of the Company and NewRiver REIT plc, to satisfy awards held by employees of the Company under the Company's Employee Share Ownership Trust which will vest and become exercisable upon court sanction of the scheme of arrangement, as further described in the circular to the Company's shareholders dated 21 October 2024.

In accordance with Rule 2.9 of the City Code on Takeovers and Mergers, Capital & Regional confirms that, on the 2 December, following Admission, the Company will have 234,400,789 ordinary shares of 10p each in issue. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
