ANNOUNCEMENT OF REDEMPTION AND DELISTING

U.S.$300,000,000 Additional Tier 1 Capital Certificates (ISIN: XS2077741978)

(the "Certificates")

The Trustee wishes to announce that:

·      Pursuant to Condition 10.1(b) (Trustee's Call Option) of the terms and conditions of the Certificates, the Trustee has, on 20 November 2024 (the "Redemption Date"), redeemed all of the outstanding Certificates at their face amount together with accrued and unpaid periodic distribution amounts to but excluding the Redemption Date, plus any additional amounts thereon.

·      Following such redemption, the Trustee has requested that the London Stock Exchange plc (the "LSE") delists the Certificates from the LSE's regulated market.

·      Following such redemption, no Certificates remain outstanding.
