"NPC" Ukrenergo announces suspension of scheduled payments under its outstanding bonds

"NPC" Ukrenergo (the "Company") will suspend payments under the Company's U.S.$825,000,000 6.875 per cent. Guaranteed Sustainability-Linked Green Notes due 2028 ("Notes"), including the payments due on 9 November 2024.

The Company's will temporarily suspend payments under the Notes on the basis of the decision of the Ministry of Energy of Ukraine, which is the state agency representing the Company's shareholder, pursuant to the Law of Ukraine "On Carrying Out Transactions with State Debt, State-Guaranteed Debt and Municipal Debt and State Derivatives" dated 19 May 2015 as amended on 18 July 2024 and consistent with the moratorium introduced by the Cabinet of Ministers of Ukraine on suspension of payments on guarantee obligations under the Notes by its Resolution "On Carrying Out Transactions with State Debt and State-Guaranteed Debt in 2024" No. 865 dated 31 July 2024 as amended on 27 August 2024.

The Noteholders of Ukrenergo have been and will continue to be important partners of the Company. In particular, the 2022 debt deferral agreed with the Noteholders helped support the Company and contributed meaningfully to its financial resilience for the past two years.   In the near future the Company intends to engage with the group of holders of the Notes to agree a fair and consensual treatment of the Notes that will contribute to the long-term financial stability of Ukrenergo.
