Result of Retail Offer
Mpac Group plc ("Mpac" or the "Company") (AIM: MPAC), the AIM quoted global leader in high-speed packaging and automation solutions, is pleased to announce that, further to the announcement made on 1 October 2024 regarding the proposed Retail Offer (the "Retail Offer Announcement"), and following the closing of the Retail Offer on 7 October 2024, 250,000 Retail Offer Shares will be issued at 400 pence per Retail Offer Share.
Capitalised terms not defined in this announcement (this "Announcement") have the meanings given to them in the Retail Offer Announcement.
The Retail Offer was significantly oversubscribed and therefore allocation of the Retail Offer Shares was made to existing Shareholders applying the principles of soft pre-emption. Shareholders were allocated approximately 20% of their soft pre-emptive allowance,(1) when their order matched or exceeded their soft pre-emptive allowance. Consequently, 250,000 Retail Offer Shares, resulting in a total of 250,000 new Ordinary Shares will be issued in relation to the Retail Offer.
The Retail Offer is conditional upon, amongst other things, completion of the Placing and the Retail Offer Shares being admitted to trading on AIM. The issue of the Retail Offer Shares remains subject to the passing of certain resolutions at a general meeting of the Company to be held at 2 Argosy Court, Coventry, CV3 4GA on Friday 18 October 2024 at 9.00 a.m.
Admission, settlement and dealings
Application will be made to the London Stock Exchange for the Retail Offer Shares to be admitted to trading on AIM.
Admission is expected to take place at 8.00 a.m. on 21 October 2024 and dealings in the Retail Shares are expected to commence at 8.00 a.m. on 21 October 2024 or, in each case, such later time and/or date as the Joint Bookrunners and the Company agree (being in any event no later than 8.00 a.m. on 28 October 2024).
The Retail Offer Shares, when issued, will be credited as fully paid and will rank pari passu in all respects with the existing Ordinary Shares, including the right to receive all dividends and other distributions declared, made or paid after the date of issue.
