Voting Rights and Capital
In accordance with the FCA's Disclosure and Transparency Rules (DTR 5.6.1), the Company notified that the Company's share capital consists of 44,824,351 Realisation Shares following the redemption of 5,082,007 Realisation Shares effected on 17 September 2024, as well as 405,815,477 2021 Shares (including 24,181,157 2021 Shares in Treasury, where the Company may not exercise any voting rights which may be attached to those shares). Accordingly, the aggregate shares in issue is 450,639,828 Shares.
Under the Articles, at any general meeting of the Company each Share (Realisation Shares and 2021 Shares) shall have one vote. Accordingly, the figure which may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure and Transparent Rules is the aggregate of Shares, namely 426,458,671.
Similarly, to calculate the numerator, Shareholders should aggregate their holdings of Realisation Shares and 2021 Shares to calculate the relevant number of voting rights for the numerator.
With effect from today, the Realisation Shares will trade under the new ISIN number GG00BSQNQD31.
It is expected that the proceeds of the redemption will be paid to Realisation Shareholders on 1 October 2024.
