Cancellation of listing and admission to trading of Hipgnosis Shares

Further to the announcement made by Hipgnosis and Bidco on 29 July 2024, Hipgnosis confirms that the listing of Hipgnosis Shares on the Official List and the admission of Hipgnosis Shares to trading on the Main Market were each cancelled with effect from 8.00 am today, 30 July 2024.

 

This announcement should be read in conjunction with the full text of the circular in relation to the Court-sanctioned scheme of arrangement under Companies Law to implement the Acquisition published on 14 June 2024 (the "Scheme Document").

 

Capitalised terms used in this announcement shall, unless otherwise defined, have the meanings set out in Part 8 (Definitions) of the Scheme Document. All references to times in this announcement are to London, United Kingdom times.

Hipgnosis Shareholders in the United States should note that the Acquisition relates to the securities of a Guernsey company with a listing on the London Stock Exchange and is proposed to be effected by means of a scheme of arrangement provided for under, and governed by, the Companies Law.
