The Company's largest institutional shareholder, Business Growth Fund ("BGF"), voted against ordinary resolutions 1, 5 and 6 and special resolutions 9, 10 and 11.  The board is disappointed that BGF elected to have no engagement with the Company regarding these resolutions prior to casting its votes and notes that BGF is isolated among the Company's shareholders in its decision to vote in this manner.  It also notes that special resolutions 9, 10 and 11 are administrative resolutions recognised and recommended within the Pre-Emption Group's Statement of Principles and are considered standard across UK public markets; consequently, the board finds BGF's votes against these resolutions perplexing.

The board continues to follow a strategic path agreed with all other major shareholders, including institutions, other than BGF and remains confident that path is in the long-term interest of all stakeholders.
