Volex plc (AIM: VLX) announces that on Wednesday 24 January 2024, Nat Rothschild, Executive Chairman, exercised a nil-cost award over ordinary shares of 25 pence each in the company ("Ordinary Shares") granted to him under the Volex plc Long Term Incentive Plan (the 'LTIP Award').
The LTIP Award was granted on 10 September 2019 subject to performance conditions being met relating to profit and relative total shareholder return ("TSR"). The Company's remuneration committee assessed the performance conditions and determined that 680,000 awards should be granted pursuant to the LTIP Award, and consequently, Nat Rothschild has exercised 680,000 LTIP Awards over Ordinary Shares.
The LTIP Award will be satisfied using existing shares purchased in the market by the trustee of the Company's employee benefit trust. The Ordinary Shares acquired on exercise are subject to a holding period expiring 10 September 2025.
Following the exercise of the LTIP Award, Nat Rothschild1 is interested in 46,539,426 shares Ordinary Shares (save for unvested or unexercised awards), representing approximately 25.62 per cent. of the Company's issued share capital.
