Shareholder Update

 

Following the Company's shareholder consultation announced on 23 May 2023, certain shareholders requested a further update on progress by the end of July.  To that end, the Company announces that it continues to actively progress discussions regarding a potential combination of its assets with another suitable investment company or fund.  

 

Since the Company's last update on 10 July 2023, the Board received an additional proposal under s110 of the Insolvency Act 1986 which is under consideration alongside one other proposal highlighted in the 10 July 2023 announcement, however at this time there remains no certainty that either of the approaches received will develop into a recommendable transaction.  For the avoidance of doubt, neither approach anticipates any offer for the Company, recommended or otherwise, under the City Code on Takeovers and Mergers.

 

The Company will provide a further update when appropriate.  In the meantime, the Company confirms that it will not make any new investments, save where it is required to preserve the value of an existing investment or where further capital is being drawn against an existing commitment or facility, with cash received from maturing loans used to continue to reduce the Company's leverage and buy back shares as appropriate.
