The Annual General Meeting ('AGM') of Windar Photonics plc (AIM:WPHO), the technology group that has developed a cost efficient and innovative LiDAR wind sensor for use on electricity generating wind turbines, was held today.

 

All 7 resolutions put to members were passed on a poll.  Resolutions 1 to 6 were passed as ordinary resolutions and resolution 7 were passed as a special resolution.

 

The number of votes cast for and against each of the resolutions proposed, and the number of votes withheld were as follows:

Resolution 6 (Ordinary)

That, in substitution for all subsisting authorities to the extent unused, the Directors be generally and unconditionally authorised for the purpose of section 551 of the Companies Act 2006 to exercise all the powers of the Company to allot ordinary shares in the Company and grant rights to subscribe for, or to convert any security into such ordinary shares up to an aggregate nominal amount of £222,100, with such authorisation to expire upon the earlier of the conclusion of the next annual general meeting and 30 June 2024.

Resolution 7 (Special)

That, subject to the passing of resolution 6 above and in substitution for all subsisting authorities to the extent unused, the Directors be generally empowered pursuant to sections 570 and 573 of the Companies Act 2006 to allot equity securities pursuant to the authority referred to in resolution 5, as if section 561(1) CA 2006 did not apply to any such allotment, provided that the power was:

1.     limited to the allotment of equity securities in connection with an offer of equity securities:

2.     limited to the allotment of equity securities up to an aggregate nominal amount of 222,100, and shall expire on the earlier of the conclusion of the next annual general meeting and 30 June 2024.

As of 26 June 2023, there were 68,361,444 ordinary shares in issue.  Shareholders are entitled to one vote per share.  Votes withheld are not votes in law and so have not been included in the calculation of the proportion of votes for and against a resolution.
