and

Posting of shareholder circular and notice of general meeting

Introduction

Ultimate Products (LSE: UPGS) ("Ultimate Products", the "Company" and together with its subsidiary undertakings, the "Group") the owner, manager, designer and developer of an extensive range of valuefocused consumer goods brands, is pleased to announce that, further to the announcement on 24 June 2021 (the "Fundraise Announcement"), the Company has conditionally raised approximately £15.0 million (before expenses) pursuant to the Fundraise.

Under the Fundraise, 6,904,762 New Ordinary Shares have been conditionally placed pursuant to the Placing and 238,095 New Ordinary Shares have been conditionally subscribed pursuant to the PrimaryBid Offer, in each case at a price of 210 pence per New Ordinary Share.

Shore Capital acted as sole Bookrunner in connection with the Placing.  The Fundraise was significantly oversubscribed.

Capitalised terms used in this announcement (this "Announcement") have the meanings given to them in the Fundraise Announcement, unless the context provides otherwise.

Admission and settlement

The New Ordinary Shares, when issued, will represent approximately 8 per cent. of the Company's issued ordinary share capital as enlarged by the Fundraise.

The New Ordinary Shares, when issued, will be fully paid and will rank pari passu in all respects with the existing Ordinary Shares, including the right to receive all dividends and other distributions declared, made or paid after the date of issue.

Applications will be made for the New Ordinary Shares to be admitted to listing on the premium listing segment of the Official List of the Financial Conduct Authority (the "FCA") and to be admitted to trading on the main market for listed securities of London Stock Exchange plc (together "Admission").

Settlement for the New Ordinary Shares and Admission is expected to take place on or before 8.00 a.m. on 14 July 2021.  The Fundraise remains conditional upon, among other things, the Resolutions being passed at the General Meeting and upon Admission becoming effective, completion of the Placing Agreement and the Placing Agreement not being terminated in accordance with its terms.

 

Simon Showman, Chief Executive Officer of Ultimate Products said:

"We are delighted with the level of support that we have received from our existing institutional shareholders for this fundraise, and to be welcoming a number of new institutions to our register. It is also particularly pleasing that retail investors have been able to participate. The net proceeds will be used to fund our proposed acquisition of the historic Salter brand, for which we see significant potential as part of our strong portfolio of value focused consumer goods brands."

A circular to Shareholders ("Circular") will be published and posted later today.  A general meeting of the Company to consider and, if thought fit, approve the Acquisition and the Fundraise will be convened to be held at 10 a.m. on 13 July 2021 at Manor Mill, Victoria Street, Chadderton, Oldham OL9 0DD.  The notice convening the meeting will be set out at the end of the Circular.

The continuing situation in relation to COVID-19 and related governmental restrictions may significantly impact the ability of shareholders to attend the General Meeting. Shareholders are strongly encouraged to very carefully consider public health and government advice at the time of the General Meeting and to exercise their right to cast their votes in respect of the business of the General Meeting by voting via proxy. Shareholders are strongly encouraged to appoint the Chairman of the General Meeting as their proxy. It is currently expected that the General Meeting will be held as a physical meeting at the venue specified above, but this may be subject to change. Shareholders should regularly check the Company's website for updates in relation to the General Meeting and such updates will also be announced via Regulation Information Service. If you are planning to attend the meeting, please register with 2021gm@upgs.com by 6.30 p.m. on 9 July 2021 so that we know that you will be attending the meeting in person and we can plan to take measures to ensure your safety and to apply any social distancing guidelines in place. You will also be issued with the Company's COVID-19 safety protocol for attending the meeting following registration. Shareholders who do not register in advance by 6.30 p.m. on 9 July 2021 may not be permitted to attend the meeting in person to ensure the safety of other attendees and social distancing compliance.

 

The Circular will be submitted to the National Storage Mechanism and will be available for inspection at: https://data.fca.org.uk/#/nsm/nationalstoragemechanism and on the Company's website at www.upgs.com.


Total voting rights

Following Admission, the Company will have a total of 89,312,457 Ordinary Shares in issue.  With effect from Admission, this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the Disclosure Guidance and Transparency Rules of the FCA.

Ultimate Products is an owner, manager, designer and developer of a series of well-known brands focused on the home, selling to over 300 retailers across 37 countries. It has six product categories: Audio; Heating and Cooling; Housewares; Laundry; Luggage; and Small Domestic Appliances. Its brands include Beldray (laundry, floor care, heating and cooling), Intempo (audio), Salter (kitchenware), Constellation (luggage), and Progress (cookware and bakeware).

The Group's products are sold to a broad cross-section of both large national and international multi-channel retailers as well as smaller national retail chains, incorporating discount retailers, supermarkets, general retailers and online retailers. Its best-selling products include frying pans, mugs and speakers, selling approximately one million of each every year.

Founded in 1997, Ultimate Products is headquartered in Oldham, Greater Manchester, where it has design, sales, marketing, buying, quality assurance, support functions and warehouse facilities across two sites. Manor Mill, the Group's head office, includes a spectacular 20,000 sq ft showroom that showcases each of its brands. In addition, the Group has an office and showroom in Guangzhou, China and in Cologne, Germany.

Ultimate Products' graduate development scheme was launched in 2012 and in 2020 it welcomed its 300th graduate. In total, Ultimate Products now employs over 300 staff.

Please note that Ultimate Products is not the owner of Russell Hobbs. The company currently has a licence agreement in place granting it an exclusive licence to use the "Russell Hobbs" trademark for cookware (NB this does not include Russell Hobbs electrical appliances).
