Results of Fundraise
Begbies Traynor Group plc (AIM: BEG), the business recovery, financial advisory and property services consultancy, is pleased to announce the successful completion of the Fundraise announced yesterday (the "Fundraise Announcement").
The Company has raised total gross proceeds of £22 million through the Fundraise, issuing 9,478,673 Vendor Placing Shares, 9,478,673 Cash Placing Shares and 1,895,735 Offer Shares (together, the "Fundraise Shares"), in each case at a price of 105.50 pence per Ordinary Share.
The Fundraise was significantly oversubscribed.
The Fundraise Shares being issued represent 16.3 per cent. of the existing issued ordinary share capital of the Company immediately prior to the Fundraise and 13.8 per cent. of the enlarged issued ordinary share capital of the Company immediately post the Fundraise and Acquisition.
Canaccord and Shore Capital acted as Joint Bookrunners in connection with the Placing.

Admission and Settlement
Application will be made to the London Stock Exchange for the 20,853,081 Fundraise Shares and the 1,902,950 Consideration Shares issued in connection with the Acquisition, together 22,756,031 Ordinary Shares (the "New Ordinary Shares") to be admitted to trading on AIM ("Admission").
The New Ordinary Shares, when issued, will be credited as fully paid and will rank pari passu in all respects with each other, and with the existing Ordinary Shares of the Company, including, without limitation, the right to receive all dividends and other distributions declared, made or paid after the date of issue.
Settlement for the New Ordinary Shares and Admission is expected to take place on or around 8.00 a.m. on 17 March 2021 (or such later date as may be agreed between the Joint Bookrunners and the Company). The Placing and the PrimaryBid Offer are conditional upon, inter alia, Admission becoming effective and the placing agreement between the Company and the Joint Bookrunners not being terminated in accordance with its terms.
Total voting rights
Following Admission, the Company will have a total of 150,637,886 Ordinary Shares in issue, with no Ordinary Shares held in treasury. Therefore, following Admission, this figure may be used by shareholders as the denominator for the calculations by which they determine if they are required to notify their interest in, or a change in their interest in, the Company under the Disclosure Guidance and Transparency Rules of the Financial Conduct Authority.
